We are regularly involved in transactions related to the acquisition or sale of a business or of all or part of the assets of a business. Our experience in such areas as tax planning, employment law, antitrust, real estate and intellectual property law allows us to provide our clients with a full range of legal advice needed to evaluate, negotiate and close such transactions successfully.
Our attorneys have extensive experience in assisting Swiss or foreign clients in expanding or reorganizing their groups on a national and international level. We advise, negotiate and draft agreements for mergers or acquisitions of Swiss entities, spin-offs, leveraged buy-outs, and cross-border mergers and acquisitions, as well as security documents in acquisition finance matters.
In connection with the contemplated acquisition of an asset, a company or an interest located in Switzerland, or prior to a merger, we coordinate and conduct due diligence procedures (legal and tax) and issue the legal opinions customarily required in these transactions.
We also handle takeovers of listed companies and advise our clients on the obligations set forth in the Swiss Stock Exchanges and Securities Trading Act (SESTA).
