Guarantees and other Security Interests
We advise our clients on all security interests they can grant or be granted in connection with their commercial transactions or the financing of their activities. We have the expertise to analyze the tax consequences of the contemplated transaction. Our activity includes:
- negotiation with the other contracting party for the issuance of letters of credit or bank guarantees;
- drafting of security documents in connection with an assignment of rights or a pledge of assets;
- review and analysis of the security interest to be provided; and
- enforcement of guarantees or of foreign judgments regarding security interests. The Firm provides services to both lenders and borrowers in numerous types of financing transactions including syndicated loans on debt financings. We advise, negotiate and draft agreements for:
- commercial loans;
- credit facilities;
- lending, guarantee and hedging transactions;
- issuance of equity or debt; and
- general banking loans.
