We advise our clients on choosing the most adequate entity, e.g. corporation, limited liability company, partnership or other types of entity in light of the activities to be carried out in Switzerland or abroad. Our activity includes among other matters:
- the drafting of articles of incorporation and by-laws and the incorporation process ;
- shareholders agreements; and
- the negotiation of tax rulings.
We also provide ongoing advice to clients on all matters of company law (capital increase ; stock incentive plans; corporate governance).
We represent numerous foreign corporations that wish to establish a corporate presence, move their headquarters, or restructure their existing activities in Switzerland.
We also advise Swiss subsidiaries or branches of foreign entities on an ongoing basis with respect to compliance with Swiss corporate and company law.
