    Borel & Barbey advised the shareholders of Dynagest SA, a Geneva based institutional asset manager, in relation to the acquisition of the entire share capital of Dynagest SA by Banque Profil de Gestion SA (SIX Swiss Exchange: BPDG). The sale was approved by FINMA.

    ARTMYN SA - closing a new round of financing
    ARTMYN SA (www.artmyn.com) just closed its last round of financing with strategic international investors. The funds will be used to accelerate the implementation of its scanners in different continents. Borel & Barbey advised ARTMYN for this round of financing. The team was led by Anne Laure Bandle and Alexandre Gallopin.
     
    ARTMYN is a spin-off from the Swiss Federal Institute of Technology in Lausanne (EPFL). The company provides a disruptive solution for highly accurate digitisation of visual artworks, with interactive rendering on mobile devices and accessible via a simple web browser. A unique portable scanner captures gigabytes of data describing the artwork in its finest details, which, along with proprietary web technologies, result in a true-to-life visualisation. This complete new experience allows users to embark on an emotional journey where digital replicas can be explored just as if the originals were in their very own hands.

    New publication in art law
    The online legal resource platform Getting the Deal Through has just published a Q&A on art law. For each country, art lawyers have answered the most common questions arising when buying, selling and lending art and collectibles. Anne Laure Bandle, expert in art law, and Arnaud Cywie, expert in tax law and customs law, wrote the chapter pertaining to Swiss law.

    New book on the attribution of works of art
    Anne Laure Bandle who specialises in art law just published the book « Risques et périls dans l’attribution des œuvres d’art: de la pratiques des experts aux aspects juridiques » (Risks and dangers in the attribution of works of art: from expert practice to legal aspects) with Schulthess. She also contributed to the book with a chapter on the liability of auction houses for misattributing works of art.
     
    One of the aims of this book is to analyse the attribution of both Old Masters and contemporary works of art, and to examine the major problems associated with this practice, such as the legal status of experts, attribution errors and the liability of dealers and auction houses, the legitimacy of experts who exercise a dominant position in the art market, and conflicts of interest. Finally, this book proposes some solutions aimed at improving the authentication process and reinforcing the security and quality of expertise in the art market.

    Acquisition of FIdFund Management SA by Banque Bonhôte & Cie Ltd
    Borel & Barbey advised Banque Bonhôte & Cie Ltd in relation to its acquisition of the entire share capital of FIdFund Management SA, a real estate fund management company managing assets of approx. CHF 2 billion.
     
    Banque Bonhôte & Cie Ltd has also acquired part of FIdFund Management SA participation capital, the balance of which was purchased by Caceis (Switzerland) SA.

    Borel & Barbey promotes Nicolas Candaux and Pierre Bydzovsky to partnership
    The partners at Borel & Barbey are delighted to announce that Nicolas Candaux and Pierre Bydzovsky have been promoted to partners of our firm on 1 January 2018.
     
    As attorney-at-law and Swiss certified tax expert, Nicolas Candaux advises clients on all tax matters, at domestic and international levels. His areas of expertise includes mergers, acquisitions, tax driven group restructuring and real estate transactions, as well as on the management of tax affairs and disputes before Swiss tax authorities. He is an expert in international tax assistance proceedings. He also assists private clients on complex tax matters (relocation, estate planning, lump sum taxation and trust related matters).
     
    Pierre Bydzovsky advises and represents clients in complex litigation involving commercial and private wealth disputes, business succession and litigation involving trusts, estates. He is also a graduated prosecutor and regularly assists parties in assets recovery civil proceedings, criminal proceedings and in international mutual assistance in criminal matters.

    Draft bill which proposes the conversion of bearer shares into registered shares
    On 17 January 2018, the Swiss Federal Council published a draft bill which proposes the conversion of bearer shares into registered shares by operation of law and thereby would abolish bearer shares. The draft bill addresses, amongst others, the concerns raised in Global Forum's Peer Review relating to Switzerland regarding the transparency of ownership of bearer shares. The wording of the contemplated legislation is currently subject to a legislative consultation process and expected to be discussed in Parliament in winter 2018. Any respective changes in Swiss law are not to be expected before mid 2019.

    EUR 115 million Financing of Conforama by Tikehau Capital
    Borel & Barbey, together with De Pardieu Brocas Maffei in France, has advised Tikehau Capital in its financing of the Conforama Group, namely its Swiss subsidiary Conforama Suisse Ltd, one of the major actor in the sale of furniture in Europe through a EUR 115 million facility.
